investor related fraud is taken pretty seriously. if they can prove vince took the tko deal over a money offer knowing it would bomb, there could be some serious consequences.
they've lost in court over issues like this before.. basically they lied about the middle east rights deals to investors and got fucked hard for it. that was just over a few million dollars this is over billions.

I'm a public M&A lawyer in a large international firm. Big companies get sued after a merger literally every single time, without fail. This is meaningless.

Also, Vince McMahon didn't need to sell the company to "secure control." He already had complete control of the majority of voting shares. If he wanted to walk back in as head of creative, all he had to do was nothing.

This is just WrestleNomics not understanding how business works, or intentionally misleading people for clicks, and OP falling for it like the mark he is.

That's not how this works. If the shareholders think they're getting fucked they can file lawsuits which could overrule his voting rights. You can't just take billions of dollars in other people's invested money and do whatever you want with it without consequences.
The shareholders wanted him out and he devised this scheme to stay in charge. I think he's potentially crafty enough to get away with it but he could absolutely get fucked by this.

Not looking at the numbers but just fyi thr current market value doesn't matter, only the value at the time the merger agreement was signed. Fiduciary duty of the board doesn't require them to be able to predict the future.

Even if the Saudi offer was higher that doesn't necessarily matter, board just has to show they still felt the Endeavor deal was better because e.g, "synergies with UFC and Hollywood will generate more value for shareholders in the long term than a cash buyout from the Saudis or them taking over but running the company with no sports or entertainment experience.

Obviously though the bigger the gap gets in the numbers the harder it becomes to make this type of argument.

This is pretty much the only thing boards consider in pubco mergers and they pay Investment Bankers between 1-3% of deal value to advise them.

I'm not looking at it (i live in Tokyo so currently shitposting from work) but you can find a detailed history of this process for the WWE by googling something along the lines of "WWE merger S-4" pulling up the S-4, then doing a ctrl+f for "Background of the Merger" or "Background of the Transaction"

The actual time to cash out will probably be when the Saudi deal is up. The Saudi deal was essentially a bribe to Vince as a close friend and confidant of the sitting POTUS. If Trump doesn't win in 2024 there's no way they get something as big.

This lawsuit isn't really that big of a deal and is most likely going to be settled out of court. The crux is this pension fund and the asshurt cucks who run it would have to prove that the merger was a substantially worse deal. TKO/WWE is on track to continue making record profits. WWE can easily make the argument that merging with a company like Endeavor is better long term than just selling to the saudis because they have a track record of improving UFC business deals. Also with the TV/streaming rights fees market looking to no longer be the wild west there is strategic value in having more content you can offer. The pension fund being asshurt over Vince is immaterial, they have to make the case that this business deal wasn't as good as just outright selling the company. and it can't be wishy washy, it has to be like several(8 figures) to hundreds of millions of dollars. Not just "Well we think there was a 1 percent return on value blah blah".

Stop posting this, it's really a nothingburger.

The class action lawsuit against UFC for independent contractors that is moving forward is ALOT more relevant and likely to have an effect.
