In the first case, employees are entitled to severance pay as set forth in their original contract for the eventuality that the company that has laid them off, but they have to abide by a non-compete period as a condition of receiving severance (they can avoid the non-compete if they waive severance). .In the latter case, however, it's usually the employee that wants out and the company agrees to let them go subject to various conditions that the two parties work out between themselves at that time (they're not in the original contract, but a newly negotiated release agreement).
