And we don't know why exactly. So it may delay Mattel's deal whether they're a multi-billion dollar company or not.
Also, a side note about the Disney - Marvel deal, when Disney bought MArvel, Marvel was allowed to keep control of themselves, especially since the Marvel owner became one of the most important people at Disney. This didn't happen with Fox or Activision, hence a shitload of restructuring. Same thing happened with WB/Discovery/ATT... and that might have played a part with ATT/WB ditching Mattel back in 2019.
