Game Freak are independent from Nintendo, but signed an exclusivity deal with Ninty to make Pokémon and sell it, after Gen 1 went so big burgerland wanted it to make money. They along with Nintendo and creatures divested themselves of marketing, product development/approval, spin-off production, toy rights deals, everything not directly related to producing core pokémon games went to TPC (including Game Freak retaining sole creative control on what gets added to the Pokémon universe, after shudo tried to put his self-insert in as a donut steel), except the contract between Nintendo and Game Freak to continue making Pokémon. More time passed and Nintendo ceded more to TPC, while still retaining their initial share split (30% of TPC), still retaining all trademarks, along with the master trademark and still retaining their contract with Game /Freak to produce new games for their consoles. Core pokémon sells consoles, spin-offs sell merch, if they even sell and Nintendo knows this innately. Which is why they're never going to give up that final; slice of guaranteed profit they still retain, by funding the games that drive console sales for them, when the system's slipped behind the big boys and the 20-somethings are whining it's old.
You'd do well to read the Iwata asks interviews conducted around HGSS and BW (I suppose BW2 too, but the first two had actual Gen 1-era peeps reminiscing in large numbers about the very early days of Pokémon) which give a better understanding to how it's set up.
