Moarin didn't abandon 541 E&C, she profited from Niji buying them out. The fact that management was going to be the same left her in a position of power.
Moarin also didn't sabotage her gen mates to get a leg up either. Everyone who was a member of 541 E&C was given the option to transfer to NijiKR or be released as an indie. The sabotage was they by joining they had signed over their models and names to her (including the Paryi girls like Mana)... you could go indie but you'd lose your name, your model, your accounts - you're basicaly starting over from scratch and that if you try to use them she'll sue
