It's more likely they're doing a more typical international direct hiring scheme. In these circumstances the contract will state which company the contract is in for legal purposes such as employment law, which is generally the one most advantageous or convenient to the employer. In this case that's probably gonna be Japan, simply because thats convenient for Cover, Japanese autism, ease of acquisition for working visas and foreign workers having limited rights in Japan.
Which puts Cover in the position that their US based talents are basically untouchable in regards to legal consequences so long as they don't have any assets outside the USA and no plans to visit Japan ever again.
And of course so long as those talents don't make the mistake of engaging with the legal proceedings in Japan.
The USA has a long history of blocking foreign criminal and civil suits against their citizens. Even in regards to Japan where there have been multiple cases of US soldiers committing numerous crimes (smuggling, theft, rape and even murder) then escaping any legal consequences by just getting back to the US military bases in Japan before the Japanese police can catch them. Sometimes the US military has opted to dishonourably discharge those individuals, but usually they don't give a shit.
There was a recent case in the UK where the spouse of a US defence worker killed a British citizen by running them over, fled the country on the advice of and with the aid of the US government and the USA has consistently refused to extradite them and advised them against engaging with the legal proceedings in the UK.
So Gura and Ame could easily avoid any and all legal consequences for any actions they took in regards to Cover.
