I mentioned this before, I think in this very thread. When a contract is put in front of you, SPECIALLY a "contractor" contract, the first version is

That's how their lawyers write it, they put everything they want and nothing you want.
Your role is then pass it to your lawyer, who will
>CROSS EVERYTHING YOU DON'T AGREE, AND ADD EVERYTHING YOU WANT
Then this version, which is your understanding of what you want, is sent to the company, and they'll pass to their lawyers and so on and so forth, until you have a contract that both parties agree.

If you are about to be hired, specially as a contractor, it is because the company values your skill as much as you value the money they'll send your way.
Don't just sign the first version of a contract, read it, pass it to your lawyer and have it improved.
