1. because the motives of corporations by their nature are not aligned necessarily with the wellbeing of the population i.e. they are primarily only driven by the motive to create as much of a profit as possible therefore all of their decision and rule making would revolve around this
2. related to reason 1, corporations also have no necessary interest in preserving or maintaining human rights and without regulation to stop them you can expect that they would do anything they wanted with no regard to human rights as long as it fulfilled their motive to create a profit (and before you say 'human rights? lol they're just made up' - literally all human societies have had this in some form since the start e.g. hammurabi code)
3. corporations do not necessarily have the knowledge or expertize to carry out and maintain things necessary for society to function on a basic level like building and maintaining infrastructure (roads, houses, plumbing etc); if there is no immediate profit incentive to do it (and these things need constant upkeep) then they wouldn't; taxation exists in current society to pay for things like this as a monetary incentive to keep it going, obviously in a corpo-run world taxation wouldn't exist and it would be entirely up to their whims as to whether they thought maintaining such things would turn over a profit
4. corporations would have a monopoly on the market and since they would have total control would crush any competition in the form of small business or startups meaning innovation would stagnate
5. without a state enforcing rule of law, crime and lawlessness would skyrocket; if it didn't serve a profit then crime would simply go unpunished - this would likely allow cartels to thrive and lead to rampant corruption everywhere
the end-state of such a society would be one which accelerated to a state of a new kind of feudalism in which corporations are the lords with private armies quelling any resistance, workers would have no rights, basic rights and health would not be maintained for the population and things would probably fall into disrepair very quickly, with crime and violence everywhere
the only way such a society would work is if you imagine human nature is fundamentally altruistic and benevolent like commies do which is of course delusional
