If Sayu takes it to court, it'll be California (but Nji can't be brought over unless it becomes criminal).
If Niji takes Sayu to court, it'll be in Japan, but they can't extradite Sayu either (not for a civil suit).
So this is a nonstarter, and just plain unenforceable.
